1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Solidafy Labs AB, a Swedish limited company (org. nr: 559551-4331), based in Sundbyberg, Sweden ("Solidafy," "we," "us," or "our") regarding your access to and use of the Solidafy Intelligence Platform, including DevAnalytics and any future modules, the portal (portal.solidafy.com), and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

2. Description of Services

Solidafy provides an intelligence platform that connects to Customer's engineering and business tools (e.g., GitHub, Jira, Linear, CI/CD pipelines) to provide analytics dashboards, metrics, and AI-powered insights. The platform currently includes:

  • DevAnalytics: Engineering analytics with 16 dashboards, 417 pre-built charts, DORA metrics, and Scout AI assistant.
  • Scout AI: Natural language interface for querying engineering data, powered by EU-hosted, zero-retention LLM inference (TensorX Ltd., EU).
  • Future Modules: Additional modules (e.g., FinOps) may be released and will be governed by these Terms.

3. Deployment Models

3.1 Managed (EU-Hosted)

Solidafy hosts and manages the platform in EU-based infrastructure. All data processing and storage occurs within the European Union.

3.2 Self-Hosted (BYOI — Bring Your Own Infrastructure)

Customer deploys the Solidafy platform in their own infrastructure. Solidafy provides the software, updates, and support. Customer is responsible for infrastructure provisioning, maintenance, and security.

4. Account Registration and Access

To access the Services, you must register an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You may invite additional users from your organization. All users are bound by these Terms. There are no per-seat charges — pricing is based on your subscription tier, not the number of users.

5. Pricing and Payment

5.1 Subscription Tiers

Services are offered under tiered subscription plans as described on our Plans page. Fees are flat-rate per month with no per-seat charges and are agreed in your order form or quotation.

5.2 Compute Minutes

Certain operations (e.g., Scout AI queries, data syncs) consume compute minutes. Each subscription tier includes a monthly allocation of compute minutes. Additional compute minutes may be purchased at published rates.

5.3 Billing

  • Fees are billed in advance on a monthly basis
  • All prices are quoted in EUR and exclude applicable VAT
  • Payment is due within 30 days of invoice date
  • We may change pricing with 30 days' written notice
  • Failure to pay may result in suspension of the Services

5.4 Trials and Pilots

We may offer free trials or pilot engagements at our discretion. The scope and duration of any trial are agreed in writing. We reserve the right to modify or discontinue trial availability at any time.

6. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of applicable laws
  • Interfere with or disrupt the Services or related infrastructure
  • Attempt to gain unauthorized access to any part of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to build a competing product
  • Exceed usage limits through automated means without authorization
  • Share account credentials or allow unauthorized access

7. Data Ownership and Processing

7.1 Your Data

You retain all ownership rights to your data. We process Customer data solely to provide the Services. Our role as data processor is governed by our Data Processing Agreement.

7.2 Data Export

You may export your data at any time through the portal. Upon termination, we will make your data available for export for 30 days, after which it will be permanently deleted.

7.3 Third-Party Integrations

The Services connect to third-party tools (GitHub, Jira, Linear, etc.) using OAuth or API tokens you provide. You are responsible for maintaining these connections and their associated permissions. We access only the data necessary to provide the Services.

8. Intellectual Property

8.1 Our Rights

The Services, including all software, algorithms, dashboards, and documentation, are owned by Solidafy Labs AB and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

8.2 Your Rights

You retain all rights to your data. By using the Services, you grant us only the rights necessary to process your data to provide the Services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOLIDAFY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

While DevAnalytics and Scout AI provide data-driven insights and metrics, they should be used as decision-support tools. Solidafy does not guarantee the accuracy or completeness of AI-generated insights. You are responsible for decisions made based on platform outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLIDAFY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

SOLIDAFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

11. Term and Termination

11.1 Term

Subscriptions are month-to-month unless otherwise agreed. Either party may terminate with 30 days' written notice.

11.2 Termination for Cause

Either party may terminate immediately upon material breach that is not cured within 15 days of written notice.

11.3 Effect of Termination

Upon termination: (a) your access to the Services ceases; (b) your data remains available for export for 30 days; (c) after 30 days, all Customer data is permanently deleted; (d) any outstanding fees become immediately due.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms shall be resolved by the District Court of Uppsala (Uppsala tingsrätt), Sweden, as the court of first instance.

12.3 EU Consumer Rights

Nothing in these Terms limits rights that EU consumers may have under mandatory consumer protection legislation.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, DPA, and any Order Forms, constitute the entire agreement between the parties.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 Assignment

You may not assign these Terms without our written consent. We may assign freely.

13.4 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control.

13.5 Amendments

We may update these Terms with 30 days' notice. Continued use after the notice period constitutes acceptance. Material changes will be communicated via email to registered users.
